Interpretation and Definitions

Interpretation The words whose initial letters are capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions For the purposes of these Terms and Conditions:

  • Application means the software program provided by the Company downloaded by You on any electronic device, named TalkAyI.

  • Application Store means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) in which the Application has been downloaded.

  • Affiliate means an entity that controls, is controlled by, or is under common control with a party.

  • Account means a unique account created for You to access our Service.

  • Country refers to: Florida, United States.

  • Company refers to TalkAyI LLC, 292 Christy RD, Mascotte FL 34753.

  • Service refers to the Application.

  • Subscriptions refer to the services or access to the Service offered on a subscription basis.

  • Terms and Conditions mean these Terms and Conditions that form the entire agreement between You and the Company.

  • You means the individual accessing or using the Service.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. By accessing or using the Service, You agree to be bound by these Terms.

Apple App Store Requirements:

  • Apple’s Role: You acknowledge that these Terms are between You and the Company only, and not with Apple Inc. Apple has no obligation to provide any maintenance or support services for the Application.

  • Claims: The Company, not Apple, is responsible for addressing any claims related to the Application, including product liability, legal compliance, or intellectual property infringement.

  • Third-Party Beneficiary: You acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms, and that Apple will have the right to enforce these Terms against You.

Subscriptions

Subscription period You will be billed in advance on a recurring and periodic basis (monthly or annually), depending on the type of Subscription plan you select.

Free Trial The Company may offer a Subscription with a Free Trial. If You enter billing information when signing up, You will not be charged until the Free Trial has expired.

  • Cancellation Window: To avoid being charged the applicable subscription fee, You must cancel the Subscription at least 24 hours before the Free Trial period ends through the subscription management settings in the Apple App Store or Google Play Store.

Refunds Except when required by law, paid Subscription fees are non-refundable. Refunds for App Store purchases are handled exclusively by Apple Inc.

Content & Use Restrictions

Our Service allows You to post Content. You are responsible for the Content that You post. You may not transmit any Content that is unlawful, offensive, or defamatory. The Company reserves the right to remove any content that violates these terms.

PART 2: DISCLAIMER

General Information

The information contained on the Service is for general information purposes only. The Company assumes no responsibility for errors or omissions in the contents of the Service.

Mental Health & AI Chatbot Disclaimer

The Service includes an AI-powered chatbot designed for emotional reflection and support. By using this feature, You understand and agree that:

  • Not a Medical Professional: The chatbot is not a licensed therapist, counselor, or medical professional. The Service does not provide medical advice, mental health diagnosis, or treatment. It is intended for self-discovery and emotional reflection only.

  • No Crisis Support: The Service is NOT intended for use in emergencies. If you are experiencing a crisis, contemplating self-harm, or in a life-threatening situation, please contact emergency services or a crisis hotline immediately.

  • AI Accuracy: The chatbot uses artificial intelligence to generate responses. AI can "hallucinate," providing inaccurate, biased, or nonsensical information. The Company is not responsible for any decisions made or actions taken in reliance on the information provided by the AI.

No Responsibility Disclaimer

The information on the Service is provided with the understanding that the Company is not herein engaged in rendering legal, medical, or other professional advice. As such, it should not be used as a substitute for consultation with professional advisers.

"Use at Your Own Risk" Disclaimer

All information in the Service is provided "as is", with no guarantee of completeness or accuracy. The Company will not be liable to You or anyone else for any decision made or action taken in reliance on the information given by the Service.

Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company under any provision of these Terms shall be limited to the amount actually paid by You through the Service or 100 USD.
